EQUINE POST.COM TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
Equine Post.com provides the Equine Post.com personal services to you free of charge, subject to the following Terms of Service, which may be updated by us at any time without notice to you.

2. DESCRIPTION OF SERVICE
Unless explicitly stated otherwise, any new features introduced to the current service ("Service") shall be subject to the Terms of Service. In order to use the Equine Post.com free personal services, you must have internet access either directly or via devices and services that provide internet access. You must provide all the necessary equipment associated with such access, including but not limited to a computer, a modem, or any other device, and you must pay any and all fees associated with such equipment and services.

3. MEMBER CONDUCT
You understand that all information, including but not limited to any text, data, graphics, photographs, messages or any other material ("Content"), whether posted publicly or on a password protected page, are solely the responsibility of the individual who originated them. You, and not Equine Post.com or any of its affiliates, have sole responsibility for all Content that you upload, post or in any other way transmit through our Service. Equine Post.com does not in any way control the Content posted by users on our site, and so can not guarantee the accuracy, quality, or integrity of such content. You understand that because of this, you may be exposed to Content you find to be offensive, objectionable, or indecent while using the Equine Post.com Service.

4. MEMBER OBLIGATIONS
To use the Equine Post.com free personal services, you agree to provide an accurate, current and working email address, and to contact Equine Post.com with a new address should your registered address become invalid. If you provide an email address that is not current and working or does not belong to you, or Equine Post.com has reasonable grounds to suspect that the email address you provided is invalid, Equine Post.com has the right to terminate your account and to delete any associated files and information, and to suspend all current and future use of our Service or any portion of our Service.

5. PRIVACY POLICY
Equine Post.com will not disclose any personal information about you, including your email address, to any third party unless specifically authorized by you or in the reasonable belief that such disclosure is necessary to comply with the law, any associated legal processes, or to enforce the Terms of Service.

6. PROHIBITED USE
You agree not to use the Service to:

(d) upload, post or transmit any unsolicited advertising or any other advertising or promotional materials not authorized by Equine Post.com, including but not limited to "spam," "junk mail," "chain letters," "multi-level marketing schemes," or any other type of solicitation;

(e) upload, post or transmit any computer viruses or any data or material that contains computer viruses or any other computer code of any kind, including but not limited to programs that are designed to interrupt, or destroy services or the functionality of any software, hardware, or equipment;

(f) interfere with in any way or disrupt the Equine Post.com Service or servers or any connected networks;

(g) violate any applicable law, local, state, national or international, intentionally or unintentionally. This includes but is not limited to any regulations imposed by the US Securities and Exchange Commission, as well as any rules of any other securities exchange, including, the NASDAQ, the New York Stock Exchange, or the American Stock Exchange, as well as any other legal regulations;

(h) "stalk" or harass in any way another person;

(i) harm a minor or minors in any way;

(j) impersonate any person or entity, falsely claim to be affiliated with any person or identity, or otherwise misrepresent yourself in any way;

(k) collect, post, or store privately any personal information about another user or person;

(l) promote illegal activities, or provide instructional information about illegal activities, or to promote physical harm, or any other injury against any person or group of people, or promote any act of cruelty towards animals. This includes but is not limited to providing resources and information about building bombs or other weapons.

(m) engage in any of the following commercial activities, unless permission for such activity is explicitly provided by Equine Post.com through a Web design or hosting agreement or other pay service. This includes:

- soliciting for sponsors or advertisers;
- conducting contests or services that require a fee;
- displaying an ad or sponsorship banner of any kind;
- displaying links or banners for services that provide cash or other benefits in exchange for click throughs;
- advertising a specific item for sale, promoting a dated event, or posting material that is time-sensitive

(n) use your free homepage or your personal page as a storage for remote loading or as a jump page to another site, whether within Equine Post.com or otherwise;

(o) have multiple Equine Post.com homepages;

7. CONTENT
Equine Post.com does not claim to own any of the Content you place on your homepage or on your personal Tackroom, or on any of the public areas of Equine Post.com. By using any of our free services, you grant Equine Post.com the worldwide, royalty-free, non-exclusive right to reproduce, adapt, modify and/or publish the Content, for promotional purposes or otherwise, on the Equine Post.com internet properties for as long as you are a member of the Equine Post.com community.

You acknowledge that Equine Post.com will not pre-screen Content, but that Equine Post.com will in its sole discretion have the right to remove or refuse any Content provided through our Service for any reason. You understand that Equine Post.com has no obligation to remove any Content, but that Equine Post.com will exercise this right on any Content that violates the Terms of Service or is objectionable in any other way. You acknowledge that you are responsible for evaluating any material posted by you, and that you bear all the risks associated with the use of such content, including any reliance of accuracy, usefulness, or completeness.

8. PROHIBITED RESALE OF SERVICE
You agree not to duplicate, reproduce, sell or resell or exploit any portion of this site or its services, or the use of or access to the Service.

9. PRACTICES REGARDING USE AND STORAGE
You acknowledge that Equine Post.com may establish rules and limits concerning the use of this Service, including but not limited to file size limitations.

10. MODIFICATIONS TO SERVICE
Equine Post.com reserves the right to modify or discontinue our Service or any part of our Service either temporarily or permanently, at any time, without notice. You agree that you will not hold Equine Post.com liable to you or any third party for any modification, discontinuation, or suspension of the Service.

11. ADVERTISEMENTS AND PROMOTIONS
Equine Post.com places advertisements and promotions on parts of its sites. The manner and extent of this advertising is subject to change. Your correspondence and business dealings with or your participation in promotions or other services advertised on Equine Post.com, including payment and delivery of goods and services and any other terms and conditions or associated warranties and representations are solely between you and the advertiser. You agree that Equine Post.com shall not be held liable or responsible for any loss or damage of any kind that you may incur as a result of your dealings with our advertisers or as the result of any advertiser's presence on our site.

Equine Post.com, or its advertisers or affiliates, may provide links to other Internet sites or resources. Because Equine Post.com has no control over such sites, you agree that Equine Post.com will not be held responsible for the availability of such sites, and does not endorse or accept responsibility for, or is not liable for any Content, products or other materials available from such sites. You also agree that Equine Post.com shall not be responsible for, or liable for any damage or loss caused or alleged to be caused by any such sites, whether directly or indirectly, including reliance on Content or goods or services available from any such site.

13. PROPRIETARY RIGHTS
You agree that the Service and all of its software contain proprietary and confidential information, and that all such software is protected by intellectual property and other laws. You agree that the Content in advertisements or promotions or any other information you obtain as a result of your use of the Service or from its advertisers is protected by all applicable copyrights, patents, trademarks, service marks, and other proprietary laws. You agree that Equine Post.com, in its sole discretion, may terminate without notice your use of any of its services, and that it may delete or otherwise remove any Content, for any reason, without limitation, for lack of use or if Equine Post.com believes that it is in violation of the Terms of Service. You agree that any termination of your access to Equine Post.com or any of its free services may occur without notice, and you agree that Equine Post.com may deactivate your access or delete your Content and/or bar any access to such Content or to the service at any time. You also agree that Equine Post.com may not be held liable to you or any third party as a result of such deactivation of access.

15. INDEMNITY
You agree to indemnify and hold harmless Equine Post.com, any affiliates, agents, partners, or employees, from any claim or demand, including attorneys' fees, made by any person or third party arising from your Content or your connection with this Service.

16. DISCLAIMER OF WARRANTIES

EQUINE POST.COM MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE OF ERRORS, OR THAT ANY INFORMATION OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY PRODUCTS OR SERVICES OR INFORMATION OBTAINED THROUGH THE SITE OR AS A RESULT OF ADVERTISING ON THE SITE WILL MEET YOUR EXPECTATIONS. EQUINE POST.COM DOES NOT GUARANTEE THAT ANY SOFTWARE ERRORS WILL BE CORRECTED. ANY INFORMATION OR DATA DOWNLOADED FROM THE SITE OR OBTAINED AS A RESULT OF USING THE SITE IS DONE AT YOUR OWN DISCRETION AND, AND AT YOUR OWN RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE DONE TO YOUR COMPUTER AS A RESULT OR ANY LOSS OF DATA THAT OCCURS AS A RESULT OF DOWNLOADING SUCH DATA OR ANY OTHER MATERIAL. 17. LIMITATION OF LIABILITY
YOU UNDERSTAND THAT EQUINE POST.COM SHALL NOT BE LIABLE FOR ANY DAMAGES, DIRECT OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY, INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES, LOSS OF PROFITS, LOSS OF GOODWILL, USE, DATA OR ANY OTHER INTANGIBLE LOSSES, EVEN IF EQUINE POST.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE SERVICE, THE COST OF SUBSTITUTE GOODS AND SERVICES OBTAINED AS A RESULT OF ANY TRANSACTIONS ENTERED INTO VIA THE SERVICE, OR ANY UNAUTHORIZED ACCESS OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR ANY STATEMENTS OR CONDUCT OF ANY THIRD PARTY USING THE SERVICE, OR ANY MATTER RELATING TO THE SERVICE.

18. FINANCIAL MATTERS
The Equine Post.com Service is provided for informational purposes only, and no Content therein is intended for trading or investing purposes. Equine Post.com shall not be liable or in any way responsible for the accuracy, usefulness or availability of any information, and shall not be liable or responsible in any way for any investment decisions you or anyone else makes based on such information.

19. INTERNATIONAL USE
You agree to comply with all local rules and regulations regarding acceptable online conduct and Content, regardless of which country you reside in, including all applicable regulations and laws regarding the transmission of technical data and information exported from the United States or from your country of residence.

20. NOTICE
Notices to you will be made via email. Equine Post.com may also provide notices of changes to our Service or to the Terms of Service by adding notices or links to on the public areas of the site.

21. GENERAL INFORMATION
This Terms of Service agreement between you and Equine Post.com governs your use of the Service, superceding any prior agreements between you and Equine Post.com, including but not limited to prior versions of this document. You may also be subject to additional terms and conditions when you use other Equine Post.com services or affiliate services, or third party content. The Terms of Service as it applies to you and to Equine Post.com shall be governed by the laws of the State of California without regard to its conflict of law provisions. You agree to submit to the jurisdiction, personal and exclusive, of the Santa Clara county, California courts. The failure of Equine Post.com to enforce or exercise any provision or right of the Terms of Service shall not constitute a waiver of any such provision or right. If any of the provisions of the Terms of Service are found by a of competent jurisdiction to be invalid, both parties will nevertheless agree that the court should consider the parties' intentions as reflected in said provision, and that the other provisions of the Terms of Service shall remain in effect. You agree that regardless of and statute or law to the contrary, any claim or action related to the Service should be filed within one (1) year after it arose or be forever barred.
